‘Implications of select amendments in clause 49 of SEBI listing agreement' |
In its series of Guest Lectures and thought leadership programmes, PetroFed organised a lecture by Sh. R. Narayanan, Executive Director and Company Secretary, IndianOil on the ‘ Implications of select amendments in clause 49 of SEBI listing agreement' at New Delhi on August 18, 2005 .
Sh. Narayanan brought out the significant amendments made on October 29, 2004 which impact Governance processes of listed companies. These include guidelines on Board of Directors, Audit Committee, Subsidiary Companies (unlisted), Disclosures, CEO/CFO certifications, report on Corporate Governance, and compliance.
In the presence of CEOs, CFOs, company secretaries and other senior officials from the industry, Sh. Narayanan dwelt extensively on the key amendments and their impact on which detailed discussions had been held by him with SEBI Chairman. The issues of independent directors, certification and the new non-mandatory requirements generated intense debate.
Sh. Narayanan was earlier welcomed by Sh. Y. Sahai, Director – C&M and presented a floral bouquet by DG, PetroFed, Sh. A.K. Arora. Sh. S.L. Das, Director, BD&C proposed a vote of thanks.
